Sebastian Orton

Sebastian advises private and public companies, banks, and other financial institutions on a range of corporate and commercial issues, including: acting for issuers and sponsors/underwriters on IPOs and secondary fund-raisings, acting for companies on acquisitions and disposals, advising companies on hostile and recommended public takeover bids, and advising corporate clients on company and commercial issues. In 2011, Sebastian was seconded to the ECM legal team at Citigroup. During his secondment, he worked on a number of IPOs and other equity-related fund-raisings. In 2004, he was seconded to the corporate finance group at Investec Investment Bank, where he was involved in both equity fund-raisings and public M&A transactions. Sebastian's recent representations include advising: Oriel Securities on a £75 million secondary fund-raising by Secure Trust Bank on AIM; Peel Hunt on the IPO of BCRE-Crack Capital on the Main Market; APC Technology Group PLC on its acquisition of Green Compliance plc; Hansteen Holdings on its £47 million placing on the Main Market, its '100 million convertible debt offering and its £150 million placing and open offer on the Main Market; Quixant plc on its IPO on AIM; funds managed by WL Ross on their acquisition of a stake in AIM-quoted NBNK Investments; Zertus GmbH on its acquisition by way of public takeover bid of Zetar Plc; Citigroup on the $172 million rights issue by Kenya Airways; N+1 Brewin on the admission to AIM of Good Energy Group and a related fund-raising; Shaft Sinkers Holdings on its IPO on the Main Market.
