Legislation
The Company Law Reform Bill is the most thorough overhaul of company law for 150 years. It includes provisions to ensure:
- greater clarity on directors' duties, codifying them so that directors must have regard to interests of employees, relationships with customers and suppliers, impact on the community and the environment and the desirability of the company maintaining a reputation for high standards of business conduct;
- greater use of e-communications and removing the need for hard copy share certificates;
- an option for all directors to file a service address on the public record rather than a private address; and
- improvement of shareholder involvement by enhancing the power of proxies and increasing rights for indirect investors.
The Bill published on LexisNexis Butterworths will be updated to include amendments. As amendments are passed, preceding versions of the Bill will be archived and the archive will be accessible to subscribers.
As at 11 May the service includes the First Reading version and the version As Amended in Grand Committee.
The source now includes links to the Act and to associated Statutory Instruments.
