The Report on the Financial Aspects of Corporate Governance was published in draft form in May 1992 and then in final form later that year, with the Cadbury Code attached. The Cadbury Committee, which authored the Report, was set up by the Financial Reporting Council, the London Stock Exchange and the accountancy profession, and recommended that the Cadbury Code, although voluntary, be complied with, and that companies state in their Annual Report and Accounts whether or not they have complied with the Code, and give reasons where compliance has not been achieved.
